This Disclaimer & Risk Statement forms part of, and is incorporated by reference into, the Terms of Service governing this website (the “Site”), Final Layer, and the Final Layer Sacrifice, operated by ProsperityTech Inc. (Republic of Panama) and its affiliate TechAdoptionGroup LLC and their respective executives and contributors (collectively, the “Final Layer Team”). Capitalized terms not defined here have the meanings given in the Terms of Service.

1.The Tokens Are Consumable Goods, Not Securities

The native Final Layer coin (“FL”), the Final Layer Sacrifice token (“FLS”), and any airdropped or other ERC-standard representation of either (collectively, the “Tokens”) are intended by all individuals who acquire, receive, hold, or interact with them to be viewed and treated as consumable goods and utility items that are used and consumed within the Final Layer network. The Tokens are not securities, investment contracts, shares, equity, debt, or financial instruments of any kind, and are not offered or sold as such. There is no common enterprise, and there shall be no expectation of profit from the efforts of any promoter, the Final Layer Team, or any third party.

Holding the Tokens grants no voting rights, no governance or control rights, no equity or ownership interest, and no dividend or revenue-share, and creates no fiduciary duty owed to you. All funds contributed to the Final Layer Sacrifice are solely owned and controlled by the Project Owners and their entities, are used at their sole discretion with no vote or say by holders, and a contribution or staking transaction is final and complete upon confirmation. 2.No Advice; No Reliance

All content on the Site is provided for general informational purposes only and does not constitute financial, investment, trading, tax, accounting, or legal advice, or any recommendation. You should not act or rely on any content without seeking advice from your own qualified professionals. You are solely responsible for your own decisions and for evaluating the merits and risks of any interaction with the Tokens, Final Layer, or the Final Layer Sacrifice.

3.Assumption of Risk

You expressly acknowledge, understand, and accept that acquiring, holding, using, or interacting with the Tokens and blockchain technologies involves substantial risk, including the risk of total loss. The following list is illustrative and not exhaustive:

• Total loss and volatility. The value of the Tokens may be extremely volatile and may fall to zero. Most cryptocurrencies have at some point lost the great majority of their value. You should only ever risk what you can afford to lose entirely.
• No refunds. Contributions to the Final Layer Sacrifice and all blockchain transactions are final, irreversible, and non-refundable. No person is obligated to return anything to you or to provide any return, profit, or benefit.
• Wallet, key, and user error. Loss of your private keys, seed phrase, or wallet access, sending to an incorrect address, or other mistakes may result in permanent and unrecoverable loss of Tokens. We cannot recover them.
• Smart-contract and software risk. Smart contracts and blockchain software are experimental and may contain bugs, vulnerabilities, or errors that can be exploited or that cause malfunction, loss, or theft. Software is hard; there is a risk, however small, of total failure.
• Protocol and network risk. Any malfunction, fork, abandonment, attack (including 51%, double-spend, or consensus attacks), congestion, or unexpected behavior of a blockchain or supporting protocol may adversely affect the Tokens.
• Cryptographic and quantum risk. Advances in cryptography or computing, including quantum computing, could weaken or break the cryptography underlying blockchains and the Tokens. While Final Layer is designed with quantum-resistant objectives, no guarantee of security is or can be made.
• Regulatory risk. The legal and regulatory treatment of digital assets is unclear, unsettled, and subject to change and may differ by jurisdiction. Regulatory action could restrict, impair, or end the availability, use, or value of the Tokens or Our Offerings, or require changes to them.
• Tax risk. The tax treatment of the Tokens may be uncertain or subject to change. You are solely responsible for determining and paying any taxes applicable to your transactions.
• Liquidity risk. There may be little or no market for the Tokens, and any market may be illiquid, thin, or unregulated, and more exposed to fraud and failure than established markets.
• Theft and hacking. Hackers may target blockchains, wallets, contracts, or interfaces. Digital assets are generally uninsured; there is no FDIC or comparable public or private insurer to make you whole in the event of loss. You agree that no hack, exploit, or security incident, and no resulting loss of any Token or value, is the fault or responsibility of, or can be held against, the Final Layer Team or its entities, and you waive any claim against them arising from any such event (see the full clause in the Terms of Service).
• Third-party and infrastructure risk. Wallets, exchanges, bridges, oracles, RPC providers, and other third parties may fail, be compromised, or act in bad faith, adversely affecting the Tokens or your access to them.
• Incomplete information. You may not have access to all information relevant to the Tokens, Final Layer, or the Final Layer Sacrifice, and we do not provide recommendations or advice.

You have been warned of, and you expressly accept and assume, all of the foregoing risks and all other risks associated with the Tokens and blockchain technologies. You are solely responsible for all transactions you engage in.

4.Forward-Looking Statements

The Site and related materials may contain forward-looking statements about plans, features, timelines, and objectives. These are not promises or guarantees. Actual results may differ materially, plans may change or be abandoned, and stated features (including quantum-resistance objectives, performance, finality, and fee figures) are goals and are not warranted. 5.“As Is”; No Warranties; Limitation of Liability

The Site, Our Offerings, and all content are provided “as is” and “as available,” without warranties of any kind, express or implied. To the fullest extent permitted by Applicable Law, the Final Layer Team, ProsperityTech Inc., TechAdoptionGroup LLC, and their respective executives, officers, directors, affiliates, and contributors shall not be liable for any loss or damage of any kind, including loss of use, profits, data, or digital assets, arising out of or in any way connected with your use of, or inability to use, the Site or Our Offerings, or with any action, decision, or behavior you take or omit in reliance on them. These disclaimers and limitations are subject to, and supplemented by, the full Disclaimer of Warranties and Limitation of Liability sections of the Terms of Service.

6.Dispute Resolution

Any dispute arising out of or relating to this Disclaimer, the Site, Our Offerings, or the Tokens is subject to the binding individual arbitration, class-action and jury-trial waivers, governing law (Republic of Panama), and forum provisions set out in the Terms of Service, which are incorporated here by reference.

7.Consent

By accessing or using the Site, you acknowledge that you have read, understood, and agree to this Disclaimer & Risk Statement, the Terms of Service, and the Privacy Policy. If you do not agree, you must not access or use the Site or Our Offerings.
